Nemetschek becomes the leading company for software-solutions in the European AEC-market / Acquisition of 54% of Graphisoft shares / Public bid by the middle of January 2007

Munich , December 31, 2006 – Nemetschek AG has acquired 54.3% of a total of 10.6 million shares in the Hungarian company Graphisoft SE (headquartered in Budapest ) at a price of EUR 9 per share. The acquisition was implemented by exercising the call option with Graphisoft shareholders agreed on December 21, 2006 .

Gerhard Weiß, CEO of Nemetschek AG, regards the strategic participation in Graphisoft as an important move for the group to strengthen the product portfolio and the market position. Together with Graphisoft, Nemetschek will become the leading software company in Europe for IT planning tools for architect, construction engineering and construction companies. With the merger, the two companies have very good chances to obtain a strong market position in the AEC-market (Architecture, Engineering, Construction), both inside and outside Europe .

Public bid by the middle of January 2007
The Managing Board announced that it would make a public bid for the remaining 45,7 % of Graphisoft shares by the middle of January 2007, also at a price of EUR 9.
